Terms of Service

1. Acceptance of Terms

By accessing or using the Avalanche Investor Portal ("Portal"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Portal.

2. Eligibility

The Portal is intended for accredited investors, qualified purchasers, and blockchain project founders. By using the Portal, you represent and warrant that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into binding agreements
  • You are not prohibited from using the Portal under applicable laws
  • If registering as an investor, you meet the applicable accreditation requirements in your jurisdiction

3. Account Registration

To access certain features of the Portal, you must create an account. You agree to:

  • Provide accurate and complete information during registration
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activities that occur under your account

4. User Conduct

You agree not to:

  • Use the Portal for any unlawful purpose
  • Misrepresent your identity, credentials, or affiliations
  • Share confidential information obtained through the Portal without authorization
  • Attempt to gain unauthorized access to any part of the Portal
  • Interfere with or disrupt the Portal's operation
  • Use automated systems to access the Portal without permission

5. Intellectual Property

The Portal and its content, including but not limited to text, graphics, logos, and software, are owned by Ava Labs or its licensors and are protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without express written permission.

6. Information Disclaimer

Information provided through the Portal, including project details and investment opportunities, is for informational purposes only and does not constitute:

  • Investment advice or recommendations
  • An offer or solicitation to buy or sell securities
  • Legal, tax, or financial advice

You should conduct your own due diligence and consult with qualified professionals before making any investment decisions.

7. Limitation of Liability

To the fullest extent permitted by law, Ava Labs and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Portal, including but not limited to loss of profits, data, or investment opportunities.

8. Indemnification

You agree to indemnify and hold harmless Ava Labs, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Portal or violation of these Terms.

9. Modifications

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Portal. Your continued use of the Portal after changes are posted constitutes acceptance of the modified Terms.

10. Termination

We may suspend or terminate your access to the Portal at any time, with or without cause, and with or without notice. Upon termination, your right to use the Portal will immediately cease.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
